Quoky Terms of Service

These Terms of Service ("Terms") govern your use of Quoky, a quoting service operated by JSCode ("Quoky", "we", "us"). By creating an account or using Quoky, you agree to these Terms and to our Privacy Policy.

1. The service

Quoky lets businesses ("Business Users") create quotes and deliver them to their customers ("Recipients") by email and SMS. Recipients can view a quote through a secure link and respond (accept, decline, or comment) without creating an account.

2. Accounts

You must provide accurate information when creating an account and keep your credentials secure. You are responsible for all activity under your account. You must be at least 18 years old and using Quoky for business purposes.

3. Subscriptions and billing

• New accounts start with a free trial (no credit card required). After the trial, continued sending requires a paid subscription billed monthly through our payment processor (acting as merchant of record).
• Subscription fees are stated at checkout. Plans include a monthly sending allowance; sending pauses when the allowance is exhausted or a subscription lapses, and your data remains readable during a grace period.
• You can cancel anytime, effective at the end of the current billing period. Fees are non-refundable except where required by law.

4. Your responsibilities as a Business User

You are the sender of the messages you initiate through Quoky. You agree that you will:

• Send quotes only to Recipients who have given you consent to be contacted at the address or number you provide, and attest to that consent when required in the app;
• Comply with applicable law in your and your Recipients' jurisdictions, including the TCPA, the CAN-SPAM Act, and CTIA Messaging Principles for US messaging;
• Honor opt-outs: once a Recipient opts out (for example by replying STOP), you will not use Quoky or any other means to circumvent that choice;
• Not upload content that is unlawful, deceptive, infringing, or harmful, and not use Quoky for marketing blasts, prohibited content categories (including SHAFT content), or any purpose other than quoting and directly related transactional communication.

We may suspend or throttle sending that appears to violate these rules, triggers elevated spam/opt-out signals, or endangers platform deliverability.

5. SMS program terms

• Program: Quoky quote notifications — transactional messages that deliver and follow up on quotes a Business User created for you. Example message: "Quoky: {business name} sent you a quote for {amount}. View & respond: {link} — Reply STOP to opt out, HELP for help."
• Message frequency varies with quoting activity (typically 1–4 messages per quote).
• Message and data rates may apply.
• Reply STOP to cancel at any time, START to resume, HELP for help, or contact support@quoky.ai.
• Carriers are not liable for delayed or undelivered messages.
• Mobile opt-in data and consent are never shared with third parties or affiliates for marketing purposes (see our Privacy Policy).

6. Recipients

Recipients use quote links under these Terms. Quote links are private to the Recipient; do not forward them if you do not want others to view or respond to your quote. Quoky is not a party to, and does not guarantee, any transaction between a Business User and a Recipient — a quote and any acceptance of it are solely between those parties.

7. Intellectual property

Quoky and its software, design, and branding belong to us. You retain ownership of the content you create (quotes, line items, business details) and grant us a license to host, process, and transmit it solely to operate the service.

8. Disclaimers

The service is provided "as is" and "as available". We do not warrant uninterrupted or error-free operation, or that any message will be delivered — delivery depends on carriers and providers outside our control. Quotes are prepared by Business Users; we are not responsible for their accuracy, taxes, or legal sufficiency.

9. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising out of the service is limited to the amounts you paid us in the 3 months before the claim, and we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill.

10. Termination

You may stop using Quoky at any time. We may suspend or terminate accounts that violate these Terms, create legal or deliverability risk, or remain unpaid past the grace period. Upon termination we will make your data available for export for a reasonable period, subject to legal retention duties.

11. Changes

We may update these Terms. Material changes will be notified by email or in-app notice; continued use after the effective date constitutes acceptance.

12. Governing law and disputes

These Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-law rules. Disputes will be resolved in the courts of Seoul, Republic of Korea, unless applicable consumer law provides otherwise.
